Echelon Ventures, Inc dba BeachCoders® and its subsidiaries (collectively, the “Company”) terms of service (“Terms of Service”)

PLEASE READ THE FOLLOWING TERMS OF SERVICE CAREFULLY BEFORE USING THIS WEBSITE. ENROLLING IN ANY OF OUR COURSES, OR USING THE SITE (COLLECTIVELY THE “SITE”). You may visit the Site without registering. All users of this Site agree that access to and use of this Site is subject to the following terms, conditions, and other applicable laws. The Company provides in-person and live-online educational courses (the “Courses”). You agree that by using this Site and using any Course you are at least 18 years of age, or visiting under the supervision of a parent or guardian, and legally able to enter into a contract. It is your responsibility to review these Terms of Service periodically. We may revise these Terms of Service at any time without notice to you. If you do not agree to these terms and conditions, please do not use this Site.

Academic Accreditation

BeachCoders® Academy does not offer bachelors, associates, masters, doctoral, or other recognized degrees. The Company’s offerings are internally measured and are not intended to be transferable to other college or postgraduate credits, nor does the Company intend to move toward that end in the foreseeable future.

BeachCoders® Academy may or may not be subject to regulation and is within appropriate regulatory compliance in the markets where it operates. BeachCoders® operates under compliant exemption by the California Bureau of Private Postsecondary Education.

Course Results

BeachCoders® may publicize and promote the outcomes of certain participants in its Courses, however, BeachCoders® cannot guarantee any outcome, job, or specific income level of employment from the skills garnered from completing courses. The Company is not a job placement agency. BeachCoders® will use best efforts on sources of information regarding average salaries and job demand in the web technology field. As with any endeavor in life, past results do not guarantee future outcomes.

STUDENT OUTCOMES ARE HIGHLY VARIABLE AND A FUNCTION OF NUMEROUS ELEMENTS BEYOND THE COMPANY’S CONTROL. SUCH AS BUT NOT LIMITED TO MARKET CONDITIONS, INDIVIDUAL APTITUDE, PERSONALITY, PERSEVERANCE, AND EMPLOYER REQUIREMENTS OUTSIDE OF THE SKILL SETS OFFERED IN THE COURSE WORK.

The Company employs ‘best efforts’ to provide present-day relevant information in an area of rapid change and disruption. We celebrate student success stories to highlight those that have achieved a notable outcome in the spirit of encouragement toward success but never as a guarantee.

Further, completing the Course does not guarantee that you will become proficient in the subject matter of the Course itself. Our instructors and staff work to ensure retention and comprehension. Students do not all have the same aptitude and therefore, will come away with varying levels of ability. Many students may find employment outside of the course subject matter, while others will use it to enhance their existing skill sets. The Company admissions interview will advise on these matters and make note of these points before allowing enrollment in the Courses.

Non-Disparagement

BeachCoders® respects and celebrates the opportunity to receive valuable feedback from our staff and students in order to continuously improve and refine our offerings. We place the highest value on our student experience and strive to work together to overcome challenges. That being said, public comments posted on review sites or any public forum that are deemed libelous, slanderous, or otherwise defamatory by definition are strictly prohibited and will be treated as tortious interference. If unresolved, the Company may seek legal recourse and you may be held liable for monetary damages to the Company’s reputation and operations. Disparaging comments would include but not be limited to personal character attacks on staff and management, false statements about the operations of the Company, and any comment that is structured to cause harm.

Website

We grant you a limited license to access and use the Site for your personal use and to copy, distribute and transmit the content of this Site or related online branded platforms such as Git Hub, Slack, etc, only to the extent that such copying, distribution, and transmission is automatically done through your browser software incidentally to using the Site for your personal use. This license does not include any resale or commercial use of this Site or its contents; any collection and use of any product listings or descriptions; any derivative use of this Site or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots or data gathering and extraction tools.

If you purchase or use any Course, that Course will be subject to its own limited license agreement.

Except as permitted above, this Site or any portion of this Site or any Company website or the site may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of the Company. You may not use any meta tags or any other “hidden text” utilizing BeachCoders® name or trademarks without the express written consent of BeachCoders®. Any unauthorized use terminates the permission or license granted by BeachCoders®. “BeachCoders®” includes BeachCoders® and Echelon Ventures, Inc, (Collectively “Brands”)

We reserve the right to change any information, features, and functions of the Site without prior notice. We may refuse service, cancel orders, terminate accounts, and/or deny access to any or all parts of this Site if you engage in any conduct or activities that we determine, in our sole discretion, violate these Terms of Service, our rights or the rights of any third party. Use of the Site for any illegal or unauthorized purpose is strictly prohibited. We reserve the right to cancel orders due to suspected fraudulent activity at our sole discretion. The sale or linking of our products on or to any third-party e-commerce site, marketplace, or mobile application without our specific written consent is prohibited.

You agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the Courses or the Site or with any other person’s use of the Courses or the Site. You may not manipulate identifiers in order to disguise the origin of any message you send through the Courses or the Site. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity. You may not use, sell or otherwise exploit the Courses or the Site for any commercial purposes. You may not use the Courses for any purpose that is unlawful or prohibited by these Terms of Service.  You may not use the Courses or the Site to post or transmit any content that is libelous, defamatory, false, misleading, inaccurate, unlawful, obscene, racially or ethnically offensive, or objectionable, or that you have reason to believe infringes or otherwise violates the copyright, trade secret, patent, publicity, privacy or other intellectual property or proprietary rights of any person or entity.

Registration and Membership

YOU WILL BE SOLELY RESPONSIBLE FOR ALL ACCESS TO AND USE OF THIS SITE AND ASSOCIATED BEACH CODERS BRANDED ONLINE PLATFORMS BY ANYONE USING YOUR PASSWORD AND IDENTIFICATION WHETHER OR NOT SUCH ACCESS TO AND USE OF THIS SITE IS ACTUALLY AUTHORIZED BY YOU, INCLUDING WITHOUT LIMITATION, ALL COMMUNICATIONS AND TRANSMISSIONS AND ALL OBLIGATIONS (INCLUDING, WITHOUT LIMITATION, FINANCIAL OBLIGATIONS) INCURRED THROUGH SUCH ACCESS OR USE.

You are solely responsible for protecting the security and confidentiality of your password and identification. You shall immediately notify us of any unauthorized use of your password or identification or any other breach or threatened breach of this Site’s security.

At the time of your first interaction with us, you may disclose personally identifiable information to us. All such personal information is subject to our Privacy Policy, which is hereby incorporated into these Terms of Service.

Billing and Payments

If you purchase a Course, you may be charged local tax, if applicable. If your payment method is declined, we will attempt to process your charge until the transaction is approved. If we are unable to complete the transaction, we may contact you directly to update your account information. We offer several Courses, including remote and in-person products. You may be responsible for taxes, depending on where you purchase and where you consume the Course.

We are not responsible for any fees or charges that your bank or credit card issuer may apply. If your bank or credit card issuer reverses a charge to your credit card, we may bill your account directly and seek payment by another method including a mailed statement.

Warranty Disclaimer

EXCEPT AS OTHERWISE SPECIFICALLY PROVIDED, THE SITE AND THE PRODUCTS OFFERED ON THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND WITHOUT WARRANTIES OF ANY KIND, UNLESS SPECIFICALLY SET FORTH OTHERWISE. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, BEACH CODERS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. BEACHCODERS® DOES NOT REPRESENT OR WARRANT THAT THE FUNCTIONS CONTAINED ON THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT THE DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVER THAT MAKES THE SITE AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. BEACHCODERS® DOES NOT MAKE ANY WARRANTIES OR REPRESENTATIONS REGARDING THE USE OF THE MATERIALS ON THE SITE IN TERMS OF THEIR CORRECTNESS, ACCURACY, ADEQUACY, USEFULNESS, TIMELINESS, RELIABILITY, OR OTHERWISE. Limitation of Liability

BEACHCODERS® SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE SITE OR MATERIALS ON THE SITE, EVEN IF BEACHCODERS® HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Student Data

BEACHCODERS® DOES NOT MAINTAIN BACKUPS NOR COPIES OF STUDENTS’ WORK. STUDENTS ARE SOLELY RESPONSIBLE FOR MAINTAINING THE INTEGRITY OF THEIR DATA AND THEIR WORK, ONLINE ASSIGNMENTS, MESSAGES, OR ANY CONTENT ON THEIR DEVICES. BEACHCODERS® ASSUMES NO LIABILITY FOR ANY DATA LOSS AT ANY TIME.

Typographical Errors

In the event any product is listed at an incorrect price or with incorrect information due to typographical error or error in pricing or product information received from our suppliers, we have the right to refuse or cancel any orders placed for a product listed at the incorrect price, whether or not the order has been confirmed and your bank or credit card charged. If your bank or credit card has already been charged for the purchase and your order is canceled, we will immediately issue a credit to your bank or credit card account in the amount of the charge.

Copyright

The technology underlying the Site and the entire contents of the Site including, but not limited to, text, graphics, images, audio clips, digital downloads, data compilation, or code is copyrighted as a collective work under the United States and other copyright laws, and is the property of the Company and protected by copyright and other intellectual property or proprietary rights. All trademarks, service marks, and trade names of BeachCoders® on the Site are trademarks or registered trademarks of BeachCoders® or their respective owners.

Indemnification

You agree to indemnify, defend and hold harmless the Company, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, liabilities, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of these Terms of Service, or any activity related to use of the Site (including negligent or wrongful conduct) by you or any other person accessing the Site using your Internet account.

Privacy

Registration data and certain other information about you are subject to our Privacy Policy, which is incorporated herein by this reference. You understand that the technical processing and transmission of this Site may involve (a) transmissions over various networks, and (b) changes to conform and adapt to the technical requirements of connecting networks or devices. This Site may link to other websites operated by third parties. We have no control over these linked sites, each of which has separate privacy and data collection practices independent of BeachCoders®. We are not responsible for and do not endorse or accept any responsibility for the availability, contents, products, services, or use of any third-party site, any website accessed from a third-party site, or any changes or updates to such sites. These linked sites are only for your convenience and therefore you access them at your own risk. You acknowledge that you bear all risks associated with access to and use of the content provided on a third-party site and agree that we are not responsible for any loss or damage you may incur from dealing with such a third-party site. You should contact the site administrator for the applicable third-party site if you have any concerns regarding such links or the content located on any such third-party site.

Submissions

We welcome your feedback and comments regarding our products and services. However, we cannot accept or consider creative ideas, suggestions, or materials, and we ask that you not submit any creative ideas, suggestions, or materials of any kind to us. If you send us creative ideas, suggestions, or materials of any kind despite our request not to do so (an “unsolicited submission”), you acknowledge and agree that we may treat the unsolicited submission to be non-confidential and non-proprietary in each instance and in all respects.

Solicitation

In order to keep compliance with regulatory and insurance provisions, students and visitors are strictly prohibited from soliciting or offering to develop business with any of our staff for outside projects. BeachCoders® maintains a corporate development division that can serve such needs, should they be suitable for our capabilities. Our staff members are advised to decline solicitation inquiries and notify the administration.

Miscellaneous

Your use of the Site shall be governed in all respects by the laws of the state of California, U.S.A., without regard to choice of law provisions.

Termination

These Terms of Service are applicable to you upon your accessing this Site. The provisions relating to Copyrights, Trademark, Disclaimer, Limitation of Liability, Indemnification, Arbitration, and Miscellaneous, shall survive any termination of these Terms of Service.

Limitation of Liability

BEACHCODERS® MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO COURSES, INCLUDING WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN THE EVENT A COURSE OR PARTNER SCHOOL PRODUCT IS NON-FUNCTIONAL, YOUR SOLE REMEDY, AND OUR SOLE LIABILITY SHALL BE THE REPLACEMENT OF SUCH PRODUCT OR, AS PERMITTED AND REQUIRED BY LAW. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

Governing Law; Submission of Jurisdiction

All matters arising out of or relating to this Agreement are governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the State of California. Each party irrevocably waives its rights to trial by jury in any action or proceeding arising out of or relating to this agreement or the transactions relating to its subject matter.

Visitor Code of Conduct

Please help us maintain a safe and conducive learning environment. When you attend any BeachCoders® event or are on a BeachCoders® campus, you agree to comply with the following rules:

I. You may only access our premises during the designated times and at the locations specified by a BeachCoders® representative. Under no circumstances may you enter a BeachCoders® location outside of the designated times or locations.

II. You may not use BeachCoders® audio-visual or other equipment without our consent. If consent is provided, you may not use such equipment without a BeachCoders® representative present to oversee such use.

III. You may not use BeachCoders® supplies without obtaining our prior consent. If you need supplies during your visit to BeachCoders®, you must request assistance from a BeachCoders® representative and such BeachCoders® representative will do their best to assist you with your needs.

IV. No smoking or drug use is permitted under any circumstances.

V. If you are 21 and older, you may consume alcohol on our premises but only if it’s provided by us, and please use your best judgment when doing so. You may not bring or consume your own alcohol. You understand that your consumption of alcohol involves an inherent risk of personal injury and even death, and you assume full responsibility for any risks of loss, property damage, or personal injury, including death, that you or your property may sustain if you consume alcohol on BeachCoders® premises or at a BC event.

VI. Anyone under the age of 21 is strictly prohibited from consuming any alcohol while on BeachCoders® premises or at a BC event.

VII. We do not allow any conduct that may be disruptive, unproductive, unethical, or illegal. This includes but is not limited to: disturbing or harassing any Company personnel in any way at any time, or areas on the premises that are not a part of BeachCoders® (in shared spaces), stealing; using BeachCoders® property, materials, or equipment without authorization; damaging BeachCoders® property, materials or equipment; making threats to others; using offensive, disrespectful or profane language; bringing dangerous or unauthorized weapons to the school; or engaging in criminal activity. BeachCoders® reserves the right to refuse service to anyone at any time.

 

Student Suitability

In addition to maintaining the code of conduct as described above, students hereby warrant and represent that their general demeanor and psychological state is suitable for an adult learning classroom and/or private session. Students will typically endure the rigors of an academic environment and should be capable of coping with this environment. BeachCoders® is not staffed nor trained for any special needs such as, but not limited to Oppositional Defiant Disorder, Attention-Deficit/Hyperactivity Disorder and Conduct Disorder (in children and adolescents), Psychotic Disorder, Bipolar Disorder, Antisocial, Borderline, Paranoid and Narcissistic Personality Disorder, Adjustment Disorder with Disturbance of Conduct, and Intermittent Explosive Disorder, Impulse Control Disorder, PTSD, Autism, Anger Management, Clinical Depression, Bi-Polar Disorder, Anxiety, Schizophrenia, Manic Depression or other psychosis.

BeachCoders® reserves the right not to accept or cancel the enrollment of any student for any reason if the school deems it out of the capability of our staff and/or the Company deems it may cause an unstable or unsafe environment for the staff and others.

Students or Legal Guardians of students electing to engage in training at BeachCoders® who knowingly or unknowingly are aware of these conditions may do so at their own risk, subject to BeachCoders® approval. Students and/or Legal Guardians of such students assume total liability for their actions and damage, including but not limited to property damage, Company, and personal reputational damage, and injury or trauma to the staff or others. BeachCoders® shall be held harmless and indemnified as described in these terms for any and all perils resulting from such election.

If a student demonstrates activity while in class, private session, or anytime in-person or online that the staff deems as unsafe or disruptive, BeachCoders® reserves the right to immediately cease instructional services with the student without recourse and BeachCoders® shall be held harmless for any claims whatsoever.

 

CANCELLATION and REFUND POLICY

You can withdraw from your course at any time and a refund credit (IF ANY) will be determined by the policies outlined below. Withdrawal from a course happens in one of the following situations:

  1. You notify BeachCoders® in writing of your withdrawal, which can be done via email or snail mail. Withdrawal is effective when Beach Coders receives notice, or the date the notice is mailed, whichever happens first.
  2. BeachCoders® terminates your enrollment for failure to maintain satisfactory progress; failure to abide by BeachCoders® rules and standards of conduct; absences in excess of the maximum set forth by BeachCoders®; and/or failure to meet financial obligations to Beach Coders®.
  3. DEPOSITS. Students desiring to reserve a seat for a specified class may remit a non-refundable deposit to hold their spot. Deposits are typically 50 percent of the course fee. If a student does not begin the specified class, they will have up to 30 days to schedule and engage in a future class with notice. If a student does not engage in a class after 30 days or no notice is received, the deposit shall be considered earned and the full tuition will be required to enroll in a future class.
  4. REFUND POLICY. Any refunds will be paid after 30 days of withdrawal. All Refunds will be less a registration fee of 25 percent of the total course fee and less the cost of any course materials that you have received. BeachCoders® offers immersive 1on1 and small-class settings with industry professionals to deliver maximum learning value. In order to deliver this product, the school relies on assured student attendance to deploy the instructors and assign the course room. If you cancel ten (10) or more days before the scheduled course begins you will receive a 50 percent refund of the full tuition previously paid. From ten (10) days before the start of the course through the first day of class, the full tuition is considered earned and there are no refunds. This clause applies to all course modalities including live classes, 1-on-1 sessions, and online courses. If a student has opted for tuition finance either directly or with an official BeachCoders® affiliate credit provider, all payments will remain in force until full payment is collected by the school. There are no refunds whatsoever on course reservation deposits.
  5. BeachCoders® reserves the right to alter schedules at will as to best serve the company and the students including but not limited to moving the class start date until a quorum of attendance is confirmed, altering the class meeting schedule to accommodate single or low student enrollment and adjustments for Federal Holidays. Regardless of modifications to the meeting schedule, Beachcoders® students will receive the full curriculum content.
  6. Generally, students are required to complete the course(s) during the period in which they begin and may not spread their attendance across more than one-course period to complete. In special circumstances, a student may acquire a waiver to pause and complete their course across more than one-course time. If a student has a schedule conflict that compels them to start on another date other than the one they have registered for, they may do so with notice up to 30 days into the future from the registered start date. After 30 days, tuition is considered earned.
  7. For 1on1 Sessions, a minimum of 24 hours’ written notice must be given to reschedule a session in order to maintain the credit for that session. Session schedules should be adhered to and re-scheduled only as a last resort. Beachcoders® reserves the right to consider missed sessions earned where an advance notice was not given and also reserves the right to deny credit on schedule changes.
  8. All of the above terms are subject to revision without notice and any student currently or previously enrolled shall be subject to terms regardless of notice.
